SERVICE AGREEMENT

 

BNB Details

BNB is a Florida limited liability company having its business address at 70 Demens Street, PO BOX 629, Oakland, Florida 34760-0629. TERMS AND CONDITIONS

DEFINITIONS

‘Conditions’ refers to the standard terms and conditions for the sale and supply of services

‘Contract’ denotes the contract relationship between BNB and Client for the sale and supply of services.

‘Client’ denotes a business or individual whose order for services is accepted by the BNB.

‘Group’ denotes any and all members of any group under the supervision of the Client.

‘Principal Client’ denotes the person making the initial booking on behalf of the group. This person will be the point of contact (and or any substitute for this person).

‘Services’ denotes the services, which the BNB is to supply in accordance with these terms and conditions at the time of booking.

‘Staff’ denotes any of the following: Server/Party Host, Bartender, Massage Specialist, DJ, Emcee, Photographer, and Videographer.

 

COMPLETE AGREEMENT

By booking with us, it will be assumed that you have had the opportunity to have read and understood our Terms and Conditions and are to be done so before a contract between us came into existence. It is understood that the Lead Client has the authority to deal with us on behalf of the group. If there is any change in the Lead Client, you should inform us in writing immediately. The Lead Client must be authorized to make the booking by all persons in the group and their parent or guardian for all group members who are under 18 when the booking is made. We can only accept bookings if the Lead Client is a minimum of 18 years and over. You must check all documents (including any confirmation and vouchers) sent to you and inform us at once if any information detailed appears to be inaccurate or incomplete.

PRICE

All quoted prices are accurate at the time of your booking and are deemed to be correct. In the event that a quoted price differs from an advertised price the quoted price will prevail. BNB shall have the right to amend any advertised price without notice to previous, current or future clients. It is the responsibility of the Client to confirm the advertised price when requesting a quote. Client shall be responsible for informing any member of BNB if vouchers or gift certificates are to be used and applied to any service at the time of booking. Any quoted price will reflect any redeemed vouchers or gift certificates and it is the responsibility of the Client to confirm any quoted price before agreeing to any service.

Advertised prices for the services stated in any media shall be exclusive of tax.

PAYMENT

Full payment for all bookings is to be received in full by credit card, a minimum of 14 days prior to the delivery of services. If Client fails to make payment in full on the due date, BNB is entitled to cancel the contract or suspend any services to the client.

CANCELATIONS

The Company requires a minimum of 14-business days notice in the event of a cancellation at a cost of $60 per Butler non-refundable cancellation fee or $60 per butler paid deposit. No refunds or substitutions shall be issued for cancellations requested 14 days or sooner from the scheduled booking date.

INFORMATION INTERGRITY

BNB reserves the right to make changes, amend errors in our corporate website and other forms of communication either before and after bookings have been confirmed or cancelled with or without notice. We will inform the client should we to make significant changes to any form of communication material, which directly affects the client.

BOOKING
A $60.00 non-refundable deposit is required for each Staff booked. Final balances will be are due 14 days prior to Event. No cancellations within 14 days of Event.

CHANGES TO SCHEDULED EVENTS

BNB shall make every attempt to accommodate a change in time or date. Upon fourteen (14) days’ notice, either party may cancel any scheduled Event. Changes made within fourteen (14) days of the event are not guaranteed.

PROVIDED

Client shall supply all serving equipment, ingredients and recipes. BNB will only provide staff. Only BNB Bartenders are trained professional mixologists.

EXCUSE OF OBLIGATIONS

BNB shall not liable or deemed in breach of contract in the event of delay, suspension or failure to perform or execute any part of BNB’s obligations where the delay or failure was due to any external forces beyond the BNB’s control. BNB shall be excused from their obligations hereunder in the event of proven sickness, accident, riot, strike, epidemic, act of God or any other legitimate condition or occurrence beyond their respective control. BNB is not liable for any refunds or expenses that should incur as a result of any external forces as stated above but not limited to.

TAXES
Client agrees to prepare and file all tax information required of a person who hires an independent contractor and BNB agrees that it has sole responsibility for the payment of any federal or state taxes arising from the monies paid to BHB for the Service.

INDEPENDENT CONTRACTORS

The parties acknowledge that they are independent contractors as to each other and that this Agreement shall not create any partnership, agency or employment. BNB shall have sole control and direction in the conduct of the Staff.

PARKING

Client shall provide parking space for vehicles in a location of close proximity to and with direct access to venue where the Event will take place on the date(s) provided. This parking space will be reserved for BNB for a period of one (1) hour prior to the Event and ending one (1) hour following the Event.

ASSIGNMENT
Neither party may assign or subcontract any rights or delegate any of its duties under this Agreement without the other party’s prior written approval.

INSURANCE

BNB shall carry Liability Insurance for itself. The Client shall carry liability and personal property damage insurance, insuring the venue, its employees, agents, contractors and vendors against all bodily injury, property damage, personal injury and other loss. The insurance required hereunder will have a single limit liability of not less than $1 Million, and general aggregate liability of not less than $2 Million.

LIABILITY

Each party agrees to indemnify, defend, and hold harmless the other party and its respective officers, agents, employees and assigns of and from any liabilities, costs, penalties, or expenses arising out of and/or resulting from the indemnifying party’s gross negligence or intentional or willful misconduct. BNB is not liable for the personal injury or death of the client or member of the group during the execution of services. BNB is not liable for any complaints that may arise due to noise, unruly, disorderly, disruptive behavior. The Client takes full responsibility for any and all alcohol that is served and handled during the execution of the event and shall be held solely responsible for any underage drinking that may occur. BNB is not responsible or liable for any service arrangement outside of this contract attained through any third-party.

RISK

The Client understands the nature of the services provided by BNB and shall exercise full discretion when booking services provided by BNB.

BNB shall not be held responsible for any offence caused to any person and any member of their group during execution of services.

BNB shall not be liable nor held responsible for loss or damage to any property belonging to the Client during execution of services.

BNB has the right to immediately remove any personnel and/or cancel all remaining services to the Client, should any agent, authorized representative, employee, or Staff of BNB at any time during execution of services if he/she feels the actions of the Client or any member of the Group to constitute a threat to their health, comfort safety or well being. BNB further reserves the right to issue no refunds for any remaining service.

BNB shall neither be liable nor responsible for any minor in attendance during the execution of services and it is the Client’s duty to abide by all laws, by-laws and regulations that may be in effect.

LITIGATION
In the event either party is required to file any action in court in order to enforce any provisions of this Agreement, the non-prevailing party agrees to pay to the prevailing party all reasonable attorney fees, court fees, and costs of suit incurred by the prevailing party, including all collection expenses and interest due. The civil or county courts located in Orange County, Florida shall have exclusive jurisdiction and shall be the exclusive venue for all disputes arising hereunder.

INDEMNITY

The Client shall indemnify BNB against all costs, fees, expenses, payments, liabilities, losses and damages arising out of the breach or negligent performance by the Client or any member of the Group of any terms of the contract.

INTELLECTUAL PROPERTY

The Client shall not use, reproduce or exploit any media in any form whatsoever obtained during the execution of services. The Client shall not use or reproduce any likeness to any uniform, outfit that resembles the outfits worn by any member of BNB. The Client understands that any photos taken during the course of an event in which any member of BNB is visible in full or in part may be used by BNB in any form of media, social or otherwise. By submitting payment and providing the address of the event venue, the Client agrees to use said media by BNB and be owned by BNB as intellectual property.

 

COMPLAINTS PROCEEDURE

All complaints related to the services provided are to be communicated within 7 days in writing if your complaint or claim does not involve death or personal injury or illness or within 3 months if your complaint or claim involves death, personal injury or illness. BNB will respond to any and all complaints within 5 working days of receipt within the period as stated above.

CONDUCT

BNB agrees to comply with the Client’s policies and rules. Further, BNB agrees and promises that its Staff will adhere to BNB’s strict code of conduct, including its no drug use policy, its non-disparagement policy, and its non-sexual harassment policy. BNB and its Staff shall use the Client or venue’s premises in a considerate manner at all times. BNB or any employee has the right to refuse alcohol to any member of the group should they appear to be under the age of 18 and have the right to request photo ID at any time during the execution of services. BNB reserves the right to terminate your booking, at any time if your behavior or that of any member of the group is likely in our opinion to cause damage, distress, danger or annoyance to it’s employees. If such an incident should occur our Staff have the right to call any member of BNB’s management and request a withdrawal from the site. At such time we will inform you of the infraction and confirm a breach in contract nullifying any services yet to be performed. No refunds will be issue in whole or part for any infraction that results in the removal of any of our Staff. The Client agrees that all members of the Group act, at all times in a safe and responsible manner and abide by all safety rules, procedures and regulations. The Client agrees to attend all safety and information briefings as applicable. The Client agrees to make any persons in authority aware, without delay of any equipment or site deficiencies or concerns, and observe and obey all laws, requests, terms of use of any supplier, including accommodation and entertainment venues.

CITY, COUNTY, STATE AND FEDERAL LAWS

The parties agree to comply with all applicable City, County, State, and Federal laws and shall conduct no illegal act on the premises. Venue will not serve alcohol to minors on the premises at any time and agrees, for everyone’s safety, to ensure alcoholic beverages are consumed in a responsible manner. Client reserves the right, in its exclusive discretion, to expel anyone who in its judgment is intoxicated or under the influence of alcohol or drugs, or who shall in any manner do or participate in any act jeopardizing the rights, use permit, or insurability of the Venue or the safety of its staff, guests, or building contents.
